Terms of Use

Upheld

Last updated: 26 October 2026

These are the rules for using Upheld. They are meant to be read once and understood, so they are written in ordinary words.

Upheld is operated by Shane Barbetti (ABN 32 477 618 866), in Australia. "We" means us. "You" means the business using Upheld, and the people at it.

By using Upheld you are agreeing to these.

What Upheld is

Software for running a place: cleaning lists, maintenance, stock, incidents, rosters, availability and the jobs that need doing. Your team uses it on their phones and the records stay with your business.

It is not an employment system, a payroll system, a medical record, or legal advice. It records what your team tells it.

Your account

  • The person who sets up the business is its owner. They can add and remove
  • people, decide what each person can see, and manage the subscription.

  • You are responsible for what happens under your logins. Keep passwords to
  • yourself and tell us if one is compromised.

  • Everybody needs their own login. Sharing one means you cannot tell who did
  • what, which defeats most of the point.

  • You must be 16 or older.
  • What you pay

  • Plan · Price · Covers
  • Single · $49.99 per month · One location
  • Multi · $99.99 per month · As many locations as you run
  • Prices are in Australian dollars and include GST where it applies.

  • A new subscription starts with 14 days free. Nothing is charged until
  • those days are up.

  • It renews automatically at the end of each period unless you cancel. Apple
  • will email you before the free period ends.

  • Billing is handled by Apple or Google, not by us. They take the payment,
  • they hold the card, and they handle refunds. We are simply told whether your subscription is live.

  • Cancel from your phone, in your Apple or Google account settings. You keep
  • access until the end of the period you have paid for.

  • Refunds are Apple's or Google's to give, under their policies. We cannot
  • issue one on their behalf, but tell us if something has gone wrong and we will help you ask.

  • If we change the price, we will tell you at least 30 days beforehand, and
  • you can cancel before it takes effect.

If a payment fails and is not fixed, access stops. Your data is not deleted when that happens , it waits, and comes back when you subscribe again.

    Your data is yours

  • You own what you put in. We do not claim any of it.
  • We hold it for you and do what you ask with it, as described in our
  • Privacy Policy.

  • You can get it out. Ask and we will export it in a readable format.
  • You can delete it, from inside the app, and it goes.
  • What you are responsible for

Upheld lets your team record things about people who are not using it: members, visitors, contractors. That includes injuries, which is health information and is treated seriously under Australian privacy law.

    You are responsible for:

  • Having the right to record that information
  • Telling those people it is being recorded, where you need to
  • What your team writes, and whether it is accurate and fair
  • Not recording anything you have no business recording
  • We provide the tool. What goes in it is your decision and your obligation.

    What you must not do

  • Use it to break the law, or to harass, intimidate or track anybody
  • Try to reach another business's data, or test whether you can
  • Take the app apart, copy it, or resell access to it
  • Upload anything that is not yours to upload
  • Put so much through it that it stops working for other people
  • If you do any of that we may suspend the account. For anything serious we will do it immediately; otherwise we will tell you first.

What we promise, and what we do not

    We will:

  • Do our best to keep it running, and tell you when it is not
  • Keep your data separate from every other business's
  • Back it up daily
  • Fix things properly when they break
  • We cannot promise:

  • That it will never be unavailable. It runs on the internet.
  • That it will never have a bug. It will.
  • That it fits every way of working. It was built for gyms and studios and may
  • not suit yours.

Upheld is provided as it is. We do not warrant that it is fit for any particular purpose beyond what it plainly does.

    Australian Consumer Law

Nothing in these terms excludes any right you have under the Australian Consumer Law. If a guarantee under that law applies and cannot be excluded, our liability is limited, where the law allows, to supplying the service again or paying the cost of having it supplied again.

Otherwise, what we are liable for

Apart from the above, and to the extent the law allows:

  • We are not liable for lost profit, lost business, lost data beyond our
  • backups, or anything indirect.

  • **Our total liability is limited to what you have paid us in the previous
  • twelve months.**

Put plainly: if we lose your data we will do everything we can to get it back, but if the consequence is bigger than what you have paid us, we cannot carry that. Keep your own records of anything that matters legally, including incident reports.

    Ending it

  • You can stop any time, from your phone. No notice, no conversation.
  • We can end it if you break these terms, if we stop offering Upheld, or if
  • payment fails and stays failed. If we are shutting the service down we will give you at least 60 days and help you get your data out.

    Changes

If we change these terms we will tell you in the app at least 30 days before, unless the change is in your favour or we have to make it immediately for legal reasons. Carrying on using Upheld after that means you accept the change.

    Where this is settled

These terms are governed by the law of Victoria, Australia, and the courts there deal with any dispute.

Before that: email us. Most things are a misunderstanding and get fixed in a day.
